Scotto Partners advises the management of Cooper-Vemedia Group in its acquisition by CVC Capital Partners
CVC Capital Partners has reached an agreement in view of acquiring Cooper-Vemedia Group, a French pharmaceuticals producer and distributor of over-the-counter drugs, from Charterhouse Capital Partners, its majority shareholder since 2015. The company is valued at well over €2 billion.
Scotto Partners advised both the French and Dutch equity holder-managers in the negotiations with different interested parties. The negotiations resulted in the top management team reinvesting a significant amount into the new project led by CVC. At the end of the transaction Charterhouse will continue as a minority stakeholder alongside CVC.

Cooper Consumer Health is a European self-care platform launched in January 2016 by private equity firm Charterhouse Capital Partners. Today Cooper Consumer Health holds dominant positions in France, the Netherlands, Belgium, Italy, Spain, and Portugal. It was formed from the combination of the French Cooper laboratories and Dutch Vemedia Consumer Health. Since then, Cooper Consumer Health has grown through follow-on acquisitions of brand portfolios, such as Hexomédine, Essaven, Dacryoserum. Its leading brands include Oenobiol, Valdispert, Pouxit, Insect Ecran, Excilor, and Audispray.
Cooper-Vemedia’s management team was advised in the transaction by Scotto Partners, with a team led by Lionel Scotto Le Massese, Isabelle Cheradame, Adrien Badelon (partners), as well as Charlotte Hazan et Charles Escolier on the corporate aspects, and Jérôme Commerçon (partner), Julien Pardieu and Pierre-Henri Abadie for the tax-related aspects.
On the financial aspects, Cooper-Vemedia’s management team was advised by the Callisto team, led by Vincent Aymé associated with Tancrède Caulliez.
