Scotto & Associés advised MinebeaMitsumi group throughout the acquisition of Mach Aero Bretigny Rectification and Mach Aero Components Private Limited companies
The MinebeaMitsumi Group, one of the world leading companies acting in the manufacturing of industrial high-precision components (in particular for aircraft engines), has completed the acquisition – through its subsidiaries NMB Minebea SARL and NMB Minebea UK Ltd. – of the entire share capital and voting rights of Mach Aero Bretigny Rectification and Mach Aero Components Private Limited respectively located in France and India. The transaction was subject to foreign investment control in France.
The MinebeaMitsumi group – controlled by Minebea Mitsumi Inc. listed on the Tokyo and Nagoya stock exchange – has approximately 80,000 employees worldwide and generated approximately 4.8 Billion euros of consolidated net sales during the fiscal year ended 31 march 2017.
The Minebea Mitsumi group was advised by Scotto & Associés law firm with Thomas Bourdeaut (partner), Magda Picchetto and Léo Ouazana on the corporate aspects, Jérôme Commerçon (partner) and Raphaël Bagdassarian on the tax aspects, and Justine Moreau on employment law aspects. Memery Crystal and Singhania & Partners law firms have also assisted the MinebeaMitsumi group with regard respectively to the English law and Indian law aspects of the transaction.
The shareholders of Mach Aero Bretigny Rectification and Mach Aero Components Private Limited were assisted by the De Gaulle Fleurance & Associés with Blaise Philippe Chaumont (Partner), Matthieu Bichon and Anne Kuhanathan on the corporate aspects, Cécile Buzy on the labor law aspects as well as by the Indian law firm Dr Kainth & Associates concerning the Indian legal aspects of the operation.
